EEK! we can't run any other software on XP!!

On a serious note I would phone microsoft and ask them, then call
them again (speak to someone else) and ask them. Chances are you
will get two different answers. I have known a few people who phoned
MS about their licensing requirements for SQL Server and everytime
they phone they get a different answer.
