I believe Olivier has already explained the "conservativism" of
instclient.exe wrt to overwriting gds32.dll. To put it more simply - don't
assume that instclient.exe will overwrite gds32.dll in %systemdir% just
because you run instclient.exe and TELL it to. You should always check to
see what (if anything) got written.

This matters with client-only installs as well - given that there is no
"existing server installation" to test.

(Sheesh, like it was never predicted that this multi-install thing would
turn into a support nightmare....?)
